Hi Stets -- I recommend you speak with someone in your legal department (or a business lawyer) to put together a contract that's appropriate for your business needs. Each independent contractor will have his/her own version of what constitutes a contract, but for your own protection, I urge you to use one that you have created with legal assistance.

One key to look for - unless you specifically state that the work done by the contractor is "work for hire," he/she can maintain rights to whatever he/she creates. The latter is appropriate in some cases, but you might need to ensure the work for hire stipulation depending on what you're having the contractor do for you.

You might search under "Work For Hire" in a search engine, for a sample contract.
